Position Purpose & Summary

Trade and Capital Markets (TCM) compliments the efforts of Cargill commodity business units by providing financial solutions to Cargill’s business partners (suppliers and buyers). TCM’s experience and expertise in global financial markets aid in mitigating documentary, cross-border and credit risks associated with structured trade finance. TCM plays a key role in funding the global operations of Cargill through cross-border funding structures and management of transferability and convertibility risks. TCM also leverages Cargill’s international trade flows to create trade structures that provide funding to emerging market-based financial institutions and corporations. In additional to structured trade finance, internal funding, and international trade flows, TCM also maintains a Financial Trading Group (FTG) which focuses primarily on emerging markets fixed income and OTC derivatives trading.

The candidate will be responsible for reviewing and analyzing various documentation to support FTG/TCM financial trading activities. This position will work in a complex global environment and will coordinate documentation requests initiated by FTG/TCM personnel globally. This position will collaborate frequently with personnel located in other regions as well as with Treasury, Tax, Legal, Derivatives Compliance, Trading, Accounting, and Operations. This position will work to negotiate and maintain documentation and standardization and will act as a subject matter expert in FTG/TCM related documentation issues. This is a global role that will require understanding of various regulatory and compliance rules in the jurisdictions in which we trade.

Principal Accountabilities

25% Review, analyze, and coordinate the completion of various types of trade documentation including long form confirmations, counterparty service agreements, new account openings, etc. This may include the documentation necessary to sign up for services and systems to facilitate clearing and settlement, operations, trading or trade order management and confirmations. Collaborate with various personnel to resolve legal, risk, and operational issues and obtain relevant approvals. Review and analyze ad hoc requests for documentation review. Respond to various documentation inquiries and coordinate communication with trading regarding eligible counterparties.

25% Analyze communications coming from various regulatory agencies and industry groups including ISDA, CFTC, ESMA, etc. Stay informed of regulatory and derivatives industry changes and develop impact analyses and summary communications. Review, analyze, and coordinate the completion of various types of regulatory documentation, such as ISDA Protocols, clearing agreements, SEF participation agreements, regulatory compliant CSA’s, etc. Coordinate with the global FTG/TCM team to ensure that compliance to relevant derivatives regulation (e.g. Dodd-Frank, EMIR, FMIA, MAS) is properly addressed and the impact to FTG/TCM is fully understood. Liaise with the Cargill Derivatives Compliance Group and Documentation teams in Treasury and Cargill Risk Management to ensure consistent portfolio of documentation across Cargill.

25% Assist trading teams with exploring new trading initiatives by reviewing and analyzing documentation. This could include reviewing all necessary documentation to support local trading initiatives including coordinating the review of custody agreements, futures account registrations, equity account documentation, bond trading account opening forms, power of attorney and know your customer (KYC) documentation. Review and analyze product approval forms (PAFs) for documentation issues and concerns. Sponsor allocated PAFs: handling periodic PAF renewals, amendments, documenting variations, liaising with Structuring, Tax, Legal as necessary.

15% Coordinate the negotiation of various master agreements initiated by FTG/TCM personnel globally including ISDA Master Agreements and Credit Support Annexes (CSA), Global Master Repurchase Agreements (GMRA), etc. Collaborate frequently with personnel located in other regions as well as with Master Agreements Center of Expertise, Tax, Legal, Derivatives Compliance, Trading, Accounting, and Operations. Work with trading teams to create and maintain templates of preferred terms for master agreements to ensure standardization. Review feedback from legal and compliance in order to provide recommendations on commercial/operational issues to FTG/TCM personnel.

5% Maintain appropriate counterparty tax documentation to be compliant with FATCA. This involves requesting tax forms for new counterparties, as well as monitoring and requesting for expiring forms. Work with Cargill Tax on changes to FATCA or other tax related issues.

5% Maintain documentation tracking tools to ensure appropriate documentation is in place for each legal entity and trade activity type. Participate in Cargill working groups and projects, as required. Field internal inquiries regarding status of agreements, specific trade terms, and policies.

Qualifications

Education, Experience, Skills

Minimum Required Qualifications

  • University degree or relevant equivalent MOCC (Massive On-line Courses Certification)

  • 7 years of working experience

  • 3 years of professional work experience in legal, financial, banking, or documentary operations, drafting and negotiating documentation with external parties, internal coordination

  • Ability to understand complex financial transactions

  • Strong verbal and written communication

  • Strong organizational and planning skills with ability to effectively manage workload within a complex and growing business

  • Strong attention to detail

  • Ability to document and improve processes and controls.

  • Demonstrated ability to effectively work with Legal, Tax, Trading, Accounting, and Operations personnel in multiple geographies

Preferred Qualifications

  • Paralegal

  • Knowledge of ISDA, GMRA, and other related documentation agreements

  • Knowledge of futures and derivatives markets

  • Knowledge of Dodd-Frank, EMIR, and other regulatory and compliance regulations

  • Knowledge of trade, custody, and clearing agreements
